Website Management Agreement

This Agreement is entered into between Khalsa Services LLC (“Company,” “we,” “us”) and Client (“you”).

1. Services Included

For a monthly fee of $45 per month, the Company provides the following services:

a. Website Hosting

  • Managed WordPress hosting on Company-controlled servers
  • Monitoring, uptime management, and basic performance optimization
  • Commercially reasonable efforts to maintain high availability (target ~99.9%)

b. Website Management

Includes:

  • Core WordPress, theme, and plugin software updates
  • Security hardening and monitoring
  • Automated backups
  • Minor content or style updates
  • General technical support related to the website

c. Included Support Time

  • Up to 0.5 hours (30 minutes) per month of updates, modifications, or support
  • Unused time does not roll over

d. Additional Work

  • Work beyond the included 0.5 hours is billed at $50 per hour, billed monthly
  • Additional work will be performed only after approval when feasible

2. What Is Not Included

Unless explicitly agreed to in writing, the following are not included:

  • SEO services or search engine ranking guarantees
  • Email hosting or deliverability troubleshooting
  • Legal compliance (GDPR, accessibility, HIPAA, etc.)
  • Content writing or marketing services
  • Work caused by third-party vendors or contractors

3. Hosting Scope & Responsibility

If the Client chooses to host the website outside of Company-managed hosting:

  • The Company is not responsible for performance, security, uptime, or compatibility issues
  • Any hosting-related troubleshooting will be billed at the hourly rate

4. Security & Backups

  • Daily automated backups are retained for approximately 30 days
  • Reasonable security measures are implemented to reduce risk
  • No system can be guaranteed to be hack-proof

In the Event of a Hack

  • The Company will restore the site to the most recent viable backup at no additional cost
  • Liability is limited to restoration of the website only

5. Client Responsibilities

The Client agrees to:

  • Maintain secure devices and strong passwords
  • Notify the Company promptly if issues arise
  • Ensure domain registration and renewals remain current
  • Maintain valid licenses for any premium themes or plugins not provided by the Company

The Company is not responsible for issues caused by:

  • Outdated or unlicensed plugins
  • Client error
  • Third-party changes or services

6. Billing & Payment

  • Services are billed monthly in advance
  • Invoices are due upon receipt

Late Payment

  • Accounts overdue by more than 30 days may have services suspended until payment is current

7. Cancellation

  • Either party may cancel with 30 days written notice
  • No refunds are provided for prepaid services

Upon cancellation:

  • The Client assumes full responsibility for hosting, backups, security, and updates

8. Website Migration (Optional)

If requested, the Company may:

  1. Provide admin access for self-migration
  2. Provide a site backup for a flat fee of $100
  3. Perform a full migration for a flat fee $100

9. Limitation of Liability

  • The Company is not liable for indirect, incidental, or consequential damages
  • Total liability shall not exceed the fees paid by the Client in the previous six (6) months

10. Third-Party Services

The Company is not responsible for work performed by third parties.

Any work required due to third-party actions is billable at the hourly rate.


11. Governing Law

This Agreement is governed by the laws of the Wyoming.

Any disputes shall first be attempted to be resolved through good-faith mediation before litigation.


12. Entire Agreement

This Agreement represents the entire understanding between the parties and may only be modified in writing and signed by both parties.


Acceptance

By beginning your subscription and submitting payment, the Client agrees to the terms of this Agreement.
